Media Software Maker?

Reuters: DivX files with U.S. SEC for $135 mln IPO. Media software maker DivX Inc. may raise up to $135 million in an initial public offering, according to regulatory a filing on Friday.

Why that sounds almost respectable. That’s not what they were calling DivX a few years ago. I found some interesting DivX contracts, including a Google Toolbar Distribution Agreement and an MPEG-4 License Agreement.

Second time is a charm?

CBC Canada: Corel returns as publicly traded company. Corel’s stock price closed at $17.95, down 16 cents from the company’s initial public offering price of $18.11.
Shares in Corel, which was taken private in 2003 by San Francisco-based Vector Capital, also began trading on Nasdaq after being priced at $16 US. The stock finished at $15.85 US.

If a public company is taken private, then sells shares to the public again, does this still count as an IPO? After all, this isn’t exactly its “initial” public offering. I’ve added updated the Corel contracts page with the contracts from their most-recent IPO.

The Reporter: Biotech’s Workers Tells Woes. One day after the announced closure of Large Scale Biology Corp.’s Vacaville and Kentucky facilities, employees expressed frustration and detailed just how bad the firm’s financial woes were.

IPO for Web 2.0

Seattle Post-Intelligencer/AP: IPOs of Cbeyond, Website Pros end flat. Two initial public offerings ended flat while another closed lower on Wednesday, the first day of trading for the three companies. Website Pros sold 6.8 million shares at the midpoint of the $9 to $11 range underwriter Friedman Billings Ramsey set. The company, which offers subscriber-based Web services and products that help businesses design Web sites and structure Internet marketing, became profitable in 2004 after years of losses.

Yahoo!/Reuters: Refco files for bankruptcy. Troubled commodities brokerage Refco Inc. said on Monday it had filed for bankruptcy protection as it struck a deal to sell its core futures brokerage business to a group of private equity investors for $768 million.

9 1/2 Weeks — No, not that “erotic psychodrama” with Mickey Rourke and Kim Basinger. I mean the amount of time that roughly passed between Refco’s IPO and its bankruptcy filing. Here are the rest of the Refco contracts, as promised — uncensored, and uncut.

This must count as a spoiler. In Refco’s Form S-1, it disclosed the following risk factor:

We will be exposed to risks relating to the evaluation of our internal controls over financial reporting as required by Section 404 of the Sarbanes-Oxley Act of 2002.

We are in the process of evaluating, testing and implementing internal controls over financial reporting to enable management to report on, and our independent registered accounting firm to attest to, such internal controls as required by Section 404 of the Sarbanes-Oxley Act of 2002. While we anticipate being compliant with the requirements of Section 404 by our February 28, 2007 deadline, we cannot be certain as to the timing of the completion of our evaluation, testing and remediation actions or the impact of the same on our operations. Sarbanes Who?

Reuters: Former Refco CEO Charged, Shares Sinking. The former chief executive of Refco Inc. was charged with securities fraud on Wednesday as shares of one of the world’s largest commodities and futures brokers continued to plummet and have now lost over 60 percent in three days.

Red Herring: Digital Music Group Plans IPO. Seeking to cash in on the growing market for legally downloaded music, Digital Music Group, which sells digital music recordings to online music stores, said Friday it plans to raise $36 million in an initial public offering.

I’ve added Digital Music Group contracts to the site, including a Digital Music Download Sales Agreement betweeen Digital Music Group and Apple Computer.

Other recent additions to the site include Poker.com contracts and PokerTek Inc. contracts.

Traffic.com Driving Towards IPO

Red Herring: Traffic.com Files $86.3M IPO. Traffic.com, a provider of traffic information to radio and TV stations and vehicles in 24 large metropolitan areas in the United States, said it filed for an IPO for $86.3 million worth of common stock, in order to repay its debts and for general corporate expenses.

WorldSpace Launches Shares

CBS News/AP: WorldSpace Climbs in Trading Debut . Shares of satellite radio broadcaster WorldSpace Inc. rose from the initial public offering price Thursday, the stock’s first day of trading. The stock ended the day at $23.36, up 11 percent from its offering price of $21 on the Nasdaq Stock Market.
